Terms of Service

1. Acceptance of Terms

By accessing or using CLOS (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. We may update these Terms from time to time; continued use of the Service after any changes constitutes your acceptance of the revised Terms.

2. Description of Service

CLOS is a real-time AI sales coaching platform. It captures and transcribes audio from your sales calls and provides live coaching suggestions visible only to you. The Service is delivered via a web application and a browser extension compatible with Google Meet, Zoom, Microsoft Teams, and Webex.

3. Eligibility

You must be at least 18 years old to use the Service. By using CLOS you represent that you are using it for lawful business purposes and that you have the legal authority to bind any organisation on whose behalf you act. The Service is not intended for personal, family, or household use.

4. Account & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@clos.coach if you suspect any unauthorised use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

5. Subscription, Credits & Payment

Access to the Service requires an active subscription or a positive credit balance. Credits are purchased in advance and are consumed each time you run a live coaching session. Unused credits carry over as long as your account is active. Credits that have already been used are non-refundable; unused credits on a cancelled account may be refunded at our discretion within 14 days of cancellation.

Subscription plans are billed in advance on a recurring basis. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. We reserve the right to modify pricing with 30 days' notice.

6. Acceptable Use

You agree not to: (a) use the Service to record or process calls without the knowledge and consent of all parties where required by applicable law; (b) reverse-engineer, decompile, or attempt to extract the source code of the Service; (c) resell or sublicense access to the Service without our written permission; (d) use the Service to harass, defraud, or harm any person; or (e) attempt to circumvent any security or rate-limiting measures.

7. Intellectual Property

The Service, including all software, design, trademarks, and content, is owned by CLOS and its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding. You retain ownership of any data you provide to the Service; you grant us a limited licence to process that data solely to deliver the Service to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described in the Privacy Policy.

9. Limitation of Liability

To the fullest extent permitted by law, CLOS and its officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim. Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.

10. Termination

You may delete your account at any time. We may suspend or terminate your access to the Service at any time if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) will do so.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer law in your country of residence grants you the right to bring proceedings in a local court.
